The Council is the policy making organ of the Institute. The Council is appointed pursuant to Section 8 of the Certified Public Secretaries of Kenya Act and operates through Committees. The Council delegates the executive functions to the Secretary and Chief Executive Officer of the Institute.

The following are the current Council Members:

CS. Tom Omariba, Chairman

CS. Tom Omariba is an experienced business leader. He is a Senior Advisor at Thompson Associates and is experienced in stakeholder engagement at the highest level as exemplified by his leadership at KEPSA where he was the Governor for the ICT Sector for five years between 2010 and 2015. He was also a Director and Chairman at the Telecommunications Service Providers of Kenya (Tespok) for the period 2008 to 2015. He is also a Non Executive Director at Hello Doctors Ltd (aka "Sema Doc"), Metropolitan Cannon Life Kenya Ltd and also is a member of the Advisory Board of the Presidential Digital Talent Program. CS. Omariba has an MBA from University of Nairobi and a BSc from Moi University. He is a Fellow of the Institute of Certified Public Accountants, a Certified Public Secretary and is extensively trained and certified in the area of leadership corporate governance.

 

 

CS. Beatrice Meso, Vice - Chairman

CS. Beatrice Meso is the Company Secretary, Kenya Power and Lighting Company Limited. She is a Certified Public Secretary, holds an LLB (Hons)and LLM all from University of Nairobi and a Post graduate Diploma in Law from the Kenya School of Law. 

 

 

 

CS. Calvin M. Nyachoti, LLB, LLM, MBA, FCIArb, Council Member

CS. Calvin Nyachoti is an Advocate of the High Court of Kenya and a Certified Public Secretary. He is an active Member of the Institute of Certified Public Secretaries of Kenya, a Fellow of the Chartered Institute of Arbitrators (Kenya Branch) and a Member of the Law Society of Kenya. He holds a Masters degree in Law (LLM) from the University of Nottingham, UK), an MBA in Strategic Management from Daystar University, Kenya and a Postgraduate Diploma in Law from the Kenya School of Law, a Bachelor of Laws degree (LLB) from Moi University, Studies in Public International Law from the Hague Academy and Leadership and Team Skills from the University of Stellenbosch, South Africa, among other qualifications. CS. Nyachoti is currently the Corporation Secretary and Director, Legal Services at the Kenyatta National Hospital, Kenya. Previously, he served as Senior Legal Counsel at the Retirement Benefits Authority in Kenya having come from private legal practice years earlier. CS. Nyachoti is a self-starter and highly motivated individual with a zeal and broad experience working in various arena among them, provision of corporate secretarial services, dispute resolution, legal consultancy and advisory, corporate governance and financial regulation and various consultancies and trainings with an admirable chest of papers under his name. He is the Chair of the Champions of Governance (COG) Award Task force.

FCS. Bernice Gachegu, Council Member

CS. Bernice Gachegu is the Registrar General. She is a Certified Public Secretary, Fellow of the Institute and holds an LLM from the Aberdeen University, UK and an LLB (Hons). She has been a strategic leader for the refurbishment and automation of the Companies Registry. She is an advocate of the High Court of Kenya and a member of the Federation of Women Lawyers (FIDA).

 

 

 

FCS. Waweru G. Mathenge, Council Member

FCS. Waweru G. Mathenge is an Advocate of the High Court of Kenya and a Certified Public Secretary. He is a Fellow of the Institute of Certified Public Secretaries of Kenya and a member of the Law Society of Kenya. CS. Mathenge holds a Bachelor of Laws (LLB) degree and a Master of Business Administration (MBA) degree from the University of Nairobi. He is an accomplished company secretary and legal professional, with wide and varied experience gained in the banking industry, the retail industry and in private legal practice. CS. Mathenge is currently the Head of Legal & Secretarial Services at Barclays Bank of Kenya Limited. He is the Chair of the Professional Development, Innovations and Standards Committee.

FCS. Dennis B. Aroka, Council Member

 

 

FCS. Dennis B. Aroka, is the Company Secretary of National Irrigation Board. Prior to joining the Board in 2013, he had practised as a consultant Company Secretary and held other similar positions for 20 years. He holds an Executive MBA from Moi University. He is also a Fellow member of the Institute of Certified Public Secretaries of Kenya and is currently pursuing an LLB course at Catholic University of East Africa. He is the Chair of the Membership Services, Advocacy and Communication Committee.

                                                                                                          

CS. Diana S. Tanui, Council Member

CS. Diana S. Tanui is the Senior Legal Officer and Ag. Corporation Secretary at the Regulatory Authority. She is a member of the Capital Markets Stewardship Code Committee which developed the Draft Stewardship Code for Institutional Investors, 2015. She has interests in corporate governance, compliance and alternative dispute resolution. She is a Certified Secretary, Member of Institute of Directors Kenya, Member of Law Society of Kenya Member of East Africa Law Society and also a Member of Chartered Institute of Arbitrators.

CS. Jacqueline O. Githinji, Council Member

CS. Jacqueline O. Githinji is a partner at Umsizi LLP, Advocates and Certified Public Secretaries. She also serves as a non-executive Director on various Boards including private and public institutions. She is a dedicated champion of sound corporate governance principles and practice. In addition to her legal and corporate secretarial qualifications, she is a Fellow of the Chartered Institute of Arbitrators and holds an MBA in Global Technology Management.

CS. Nelson W. Nyongesa, Council Member

CS. Nelson W. Nyongesa is currently working with SASRA in developing policy framework and governance structure for the Islamic Finance in Kenya. He is a young professional with over ten years’ experience in the public sector in various capacities, especially in performance audit, regulatory audit and internal audit. He was one of the pioneer members of Value for Money Audit at Kenya’s National Audit Office and participated in several performance audits of projects including Audit of Service Delivery at Kenyatta National Hospital Specialized Services that won an international award. He is a member of several professional institutions including ICPSK, ICPAK, ISACA, IIA and IABMF and also hold certified governance trainer certification.
